Terms and Conditions for the ABA Matrix $100 Credit Promotion

These Terms and Conditions (the “Terms”) govern the promotional offer (the “Promotion”) provided by HEX MATRIX, LLC, d/b/a ABA Matrix (“Licensor”) to eligible subscribers (“Subscriber”) of the ABA Matrix Software as a Service (“Service”). By participating in the Promotion, Subscriber agrees to these Terms, which supplement the existing Software as a Service (SaaS) Agreement (the “Software Agreement”).

• The Subscriber must maintain an active and uninterrupted use of the Service throughout the Promotion Period.
• The Promotion applies only to new Subscribers who have not previously received similar promotional credits from HEX MATRIX, LLC, d/b/a ABA Matrix.
• The Promotion is not available to resellers, distributors, or affiliates of HEX MATRIX, LLC, d/b/a ABA Matrix unless explicitly approved in writing.

The Promotion is valid for the first twelve (12) months following the Effective Date (the “Promotion Period”) and applies as follows:

• Any unused portion of the credit does not accumulate, roll over, or carry forward to future months.
• The Promotion does not apply to invoices or charges issued before the Promotion Period.
• No retroactive credits, rebates, or adjustments will be made.
• The Promotion cannot be combined with any other discount, offer, or special arrangement unless explicitly agreed upon by HEX MATRIX, LLC, d/b/a ABA Matrix in writing.

At the end of the Promotion Period:

• Subscribers will be charged the full invoice amount without further discounts or promotional credits.
• Standard pricing and payment terms as per the Software Agreement will resume.
• Failure to make timely payments may result in late fees or Service suspension.

HEX MATRIX, LLC, d/b/a ABA Matrix reserves the right to modify or terminate the Promotion at any time without prior notice. However, any agreed-upon terms of the Promotion shall remain in effect for Subscribers who have already enrolled until the end of the Promotion Period.

HEX MATRIX, LLC, d/b/a ABA Matrix’s maximum liability under this Promotion is strictly limited to the credits and discounts explicitly stated in these Terms. Under no circumstances shall HEX MATRIX, LLC, d/b/a ABA Matrix be liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of profits or goodwill related to this Promotion.

• If the Subscriber’s account is suspended during the Promotion Period, the Promotion Period will be tolled (paused). For example, if an account is suspended in month 4 and reinstated in month 6, the Promotion will continue from month 6.
• If the Software Agreement is terminated for any reason, the Promotion will be forfeited immediately, and no further credits will be provided.

• The benefits of the Promotion are non-transferable.
• The credit cannot be exchanged, refunded, or applied to any other entity, account, or agreement.

Subscriber agrees to keep the terms of this Promotion confidential. This obligation shall survive the termination of the Software Agreement and the Promotion.

• The terms of the Software Agreement apply to this Promotion.
• In the event of any conflict between these Terms and the Software Agreement, these Terms shall prevail with respect to the Promotion.

By participating in the Promotion, Subscriber acknowledges and agrees to these Terms.
